Join our upcoming live webinar series on entity structure and bank approval for fintech, crypto, payments, and iGaming companies. Register once to access both live sessions, including Q&A, or join the session that fits where your company is today.

Banks, regulators, and investors all read your entity structure before they read your numbers. In fintech, crypto, payments, and iGaming, that structure decides which rules apply, which licenses you can hold, and whether a bank or BaaS partner will take the account. When ownership is unclear or the compliance program exists only on paper, the result is a rejected application, a closed account, or a funding round that stalls in diligence.

Join Ari B. Good, Partner at Cogent Law, and Rubio Teixeira, Founder and CEO of Octus Consulting, for a practical two-part fireside chat series on building a company that is bankable, licensable, and investable.

The series moves deliberately: first how to structure the company so banks, regulators, and investors can get comfortable with it, then what to put in front of a bank or BaaS partner to turn a no into a yes.

Session 1 - Entity Structure: What Banks, Regulators, and Investors Look For

    Date: Tuesday, November 17, 2026

    Time: 12:00 PM ET

    Format: Fireside Chat + Live Q&A (45-minute discussion + 15-minute Q&A)

Structure is regulatory and commercial infrastructure, not paperwork. This session explains how a bank reads your ownership, control, and licensing to judge risk, how your setup decides whether FinCEN registration, state money transmitter licensing, and OFAC screening apply, and what tends to trigger an audit. It then turns to cross-border structuring for companies entering or leaving the U.S., what investors flag in due diligence, and a practical framework for choosing the structure that fits your business model, markets, and stage.

Session 2 - From Rejected to Approved: What Banks Look For in Fintech Founders

    Date: Tuesday, December 8, 2026

    Time: 12:00 PM ET

    Format: Fireside Chat + Live Q&A (45-minute discussion + 15-minute Q&A)

Banks do not approve promises. They approve evidence. This session covers the most common reasons fintechs get rejected or de-banked, what banks evaluate in the founders as well as the company, and the compliance documents banks and BaaS partners actually accept, from a tailored BSA/AML policy and written risk assessment to a clear flow-of-funds diagram. It compares how sponsor banks and BaaS platforms run due diligence and closes on how to keep the account once it is open. The session opens with a short recap, so new attendees can join without having seen Session 1.

    What You Will Learn

    • What banks, regulators, and investors look for in your entity structure, and what a weak or unclear structure signals to each of them.
    • How your structure determines which rules apply, from FinCEN registration and state money transmitter licensing to OFAC sanctions screening.
    • How to structure for cross-border expansion and market entry, whether you are entering the U.S. or expanding abroad.
    • Why banks reject or de-bank fintechs, and what they evaluate in the founders, not just the company.
    • What compliance documents banks and BaaS partners actually accept, and how to fix red flags before you apply.
    • How sponsor banks and BaaS platforms differ in due diligence, and what keeps the relationship healthy after approval.
